Sources, Discipline and Forming the Relationship

56 ደቂቃ7 ክፍሎችነፃ ክፍል

The foundation of Professional Responsibility for the California essay: the ABA Model Rules, the California Rules of Professional Conduct and the State Bar Act; how the State Bar disciplines lawyers and how discipline differs from malpractice; when a lawyer-client relationship forms and what a lawyer owes a prospective client; who decides what in a representation, limited-scope work and advice about illegal conduct, including California’s cannabis comment; the statutory duties in B&P § 6068, including the 30-day self-report; and the ABA-then-California method for every PR essay.

  1. 1.Name the three sources of PR law, explain which of them bind a California lawyer, and answer the “California and ABA authorities” essay call.
  2. 2.Explain how the California discipline system works and distinguish discipline from legal malpractice.
  3. 3.Decide whether a lawyer-client relationship or a prospective-client duty exists, and when a consultation disqualifies the lawyer.
  4. 4.Allocate decisions between lawyer and client, and test a limited-scope agreement and advice about illegal conduct.
  5. 5.Apply the statutory duties in B&P §§ 6068 and 6101, including the 30-day self-report in § 6068(o).

1.1 How Professional Responsibility is tested

Professional Responsibility (PR) is the law that governs lawyers. It says what a lawyer owes to clients, courts, opponents and the public, and what happens when a lawyer fails. This chapter covers the sources of that law, the California discipline system, and the start of the lawyer-client relationship. Every later chapter builds on these foundations.

PR is the most frequently tested essay subject on the California bar exam. It appeared on 49 of the last 50 exams, and on all 12 of the 12 most recent ones. It is not on the MBE (the national multiple-choice test). The examiners test it in a one-hour essay, either alone or combined with another subject. Expect a PR essay on the exam you take.

The default sentence and the PR call

Every essay booklet tells you to use “legal theories and principles of general application” unless a question expressly asks for California law. PR questions almost always ask. The call usually reads: “Answer according to California and ABA authorities.” So a PR answer uses two sets of rules on every issue.

call of the question – The instruction at the end of an essay question that tells you what to discuss and which law to apply.

Read the call of the question before you read the facts. If it names California and ABA authorities, you must state and apply both. If it names only the California rules, answer under California law alone. If it asks about a specific lawyer or a specific act, organize your answer around that lawyer or act.

ንጥረ ነገሮች

The PR attack order

Read the facts in time order. For each act by a lawyer, ask which of these duties it touches. Chapter 12 teaches the full method.

  1. 1.1: Formation: is the person a client, a prospective client, or neither?
  2. 2.2: Scope and authority: who decides, any limited scope, any illegal conduct.
  3. 3.3: Loyalty: current-client, former-client and personal-interest conflicts.
  4. 4.4: Confidentiality, and the separate evidence rule of privilege.
  5. 5.5: Competence, diligence and communication.
  6. 6.6: Fees and client property.
  7. 7.7: Duties to the court, opposing parties and third persons: candor and fairness.
  8. 8.8: Duties to the profession: withdrawal, reporting, misconduct and discipline.

1.2 The three rulebooks and the discipline system

Three bodies of rules govern a California lawyer. The ABA Model Rules of Professional Conduct are a model code written by the American Bar Association. The California Rules of Professional Conduct (CRPC) are the rules that bind California lawyers. The State Bar Act, in the Business and Professions Code (B&P), adds duties by statute. A PR essay tests all three, so you must know which is which. This book shortens ABA Model Rule to MR and California Rule of Professional Conduct to CRPC.

ደንብ

What binds a California lawyer

The California Rules of Professional Conduct, once the California Supreme Court approves them, bind every California lawyer. A willful breach of a rule, or a violation of the State Bar Act, is a ground for discipline. Willful means only that the lawyer meant to do the act. The lawyer need not know it was wrong.

ደንብ

The status of the ABA Model Rules

The ABA Model Rules are not law in California. California courts may consult them as persuasive guidance when no California rule or case answers the question and no California policy conflicts. On the essay you still state the ABA rule, because the call asks for it.

Two numbering points help when you read cases. First, the 2018 rules replaced older California rules with different numbers, such as former rule 3-110 (competence) and former rule 3-310 (conflicts). Older cases cite those numbers. Second, some California rules use numbers the ABA does not. Some match a lettered ABA paragraph: CRPC 1.2.1 matches MR 1.2(d). Others have no ABA twin, such as CRPC 1.4.2 (disclosure of no malpractice insurance).

የፈተና ጠቃሚ ምክር

Name the source in every rule sentence: “Under ABA Model Rule 1.18 …” and then “Under California Rule 1.18 …”. Graders look for both authorities in a PR answer.

How discipline works in California

The California Supreme Court controls the admission and discipline of lawyers. The State Bar of California acts as its administrative arm. The State Bar’s Office of Chief Trial Counsel investigates complaints and prosecutes cases. The State Bar Court hears them, first in its Hearing Department and then, on appeal, in its Review Department. The Supreme Court makes the final order in any suspension or disbarment.

ደንብ

Purpose and proof in discipline

Protection of the public is the State Bar’s highest priority. Discipline protects the public, the courts and the profession; its purpose is not punishment or compensation, although an order may require restitution. The State Bar must prove a violation by clear and convincing evidence. Harm to a client is not required, but it affects the sanction.

ንጥረ ነገሮች

The sanctions, from least to most serious

After it finds a violation, the State Bar Court imposes or recommends one of these:

  1. 1.Private reproval: a written censure; the least serious form of discipline.
  2. 2.Public reproval: a written censure that becomes part of the public record.
  3. 3.Probation: conditions the lawyer must meet, often attached to a stayed suspension.
  4. 4.Suspension: the lawyer may not practice for a period; the suspension may be stayed or actual.
  5. 5.Disbarment: the license is taken away; the lawyer may later apply for reinstatement.

ማንም በቂ ነው።

moral turpitude – Conduct that shows a serious lack of honesty, trustworthiness or fitness to practice, or a breach of duty so serious that it would undermine public confidence in lawyers.Adapted from In re Lesansky (2001) 25 Cal.4th 11 (crimes outside practice)

ደንብ

Moral turpitude, dishonesty or corruption

Any act involving moral turpitude, dishonesty or corruption is a cause for suspension or disbarment. It does not matter whether the act happened in law practice or in private life, or whether it was a crime.

ደንብ

Criminal acts and dishonesty (rule 8.4)

It is professional misconduct to commit a criminal act that reflects adversely on the lawyer’s honesty, trustworthiness or fitness as a lawyer. It is also misconduct to engage in conduct involving dishonesty, fraud, deceit or misrepresentation. Not every crime qualifies, but a pattern of minor offenses can.

ደንብ

Court orders and the oath

A lawyer who willfully disobeys a court order connected with the lawyer’s practice may be suspended or disbarred. The same is true of a lawyer who violates the attorney’s oath or duties. A lawyer who disagrees with an order must challenge it, not ignore it.

ደንብ

The malpractice time limit in California

A client must sue for legal malpractice within 1 year after discovering the wrongful act, or when the client should have discovered it. The outer limit is 4 years after the act. Continued representation in the same matter, and some other events, pause both periods. Actual fraud is not covered.

  6. 6.Discipline protects the public and needs no harm; malpractice compensates and needs damages.

1.3 Forming the relationship; prospective clients

Most duties in this subject are owed to a client. So the first question in many PR essays is whether a lawyer-client relationship exists, and when it began. Formation has been tested on 8 of the last 50 exams.

ደንብ

When the relationship forms

A lawyer-client relationship forms when a person asks a lawyer for legal help and the lawyer agrees, by words or by conduct. It also forms when the lawyer does not decline and knows, or reasonably should know, that the person reasonably relies on the lawyer. No fee, writing or signature is required.

ንጥረ ነገሮች

Three ways a relationship begins

Restatement § 14 describes three routes; any one is enough:

  1. 1.Agreement: The person asks for legal services, and the lawyer agrees to provide them.
  2. 2.Reliance: The lawyer fails to decline while knowing, or having reason to know, that the person reasonably relies on the lawyer.
  3. 3.Appointment: A court with the power to do so appoints the lawyer.

ማንም በቂ ነው።

Courts judge formation from the client’s reasonable point of view. Ask four questions. Did the person seek legal advice about their own matter? Did the lawyer give it? Did confidential information change hands? What did the lawyer say about next steps? A social setting does not prevent formation, and a fee is never required. A missing fee agreement under Cal. Bus. & Prof. Code § 6147 or Cal. Bus. & Prof. Code § 6148 makes the fee voidable. The relationship still exists. Chapter 6 covers fees.

እውነታው

A woman met a lawyer for about an hour about a malpractice claim for her husband’s paralysis after surgery. The lawyer said he did not think they had a case but would discuss it with his partner. She understood that he would call only if he changed his mind. He never called, charged no fee, and never mentioned the two-year time limit. She relied on him, and the limitations period ran.

ለምን አስፈላጊ ነው።

No fee or retainer is needed. Togstad is only persuasive in California, but it matches Restatement § 14.

Prospective clients

prospective client – A person who consults a lawyer about possibly hiring the lawyer, or about getting legal advice from the lawyer as a lawyer, even if no hiring follows.ABA Model Rule 1.18(a); Cal. Rules of Prof. Conduct, rule 1.18(a)

ደንብ

Duties to a prospective client

The lawyer must not use or reveal information learned in the consultation, even if the lawyer is never hired. The only exceptions are those that rule 1.9 allows for former clients. A person who shares information with no reasonable expectation that the lawyer will consider the matter is not a prospective client.

The Evidence Code’s definition of a client for the lawyer-client privilege covers a prospective client too (Cal. Evid. Code § 951). So one consultation can create both confidentiality and privilege. SpeeDee Oil confirms that a lawyer’s duties extend to a preliminary consultation.

ንጥረ ነገሮች

When the lawyer may not act against a prospective client

The lawyer may not represent a new client against the prospective client if all three are true:

  1. 1.The new client is materially adverse to the prospective client.
  2. 2.The matter is the same or substantially related.
  3. 3.The lawyer received information that could be significantly harmful (ABA) or that is material to the matter (California).

ሁሉም ንጥረ ነገሮች ያስፈልጋሉ።

informed consent – Agreement given after the lawyer explains the relevant facts and the material risks, including foreseeable adverse consequences.ABA Model Rule 1.0(e); Cal. Rules of Prof. Conduct, rule 1.0.1(e)

informed written consent – The California form of consent: both the lawyer’s explanation and the person’s agreement must be in writing.Cal. Rules of Prof. Conduct, rule 1.0.1(e-1)

ደንብ

Curing the conflict

The conflict is cured if both persons consent: informed consent, confirmed in writing (ABA), or informed written consent (California). Without consent, other lawyers in the firm may still act if three things are true. The consulted lawyer heard no more than needed. That lawyer is timely screened and gets no fee share. The prospective client gets prompt written notice.

MR 1.18(c) disqualifies the lawyer only if the information could be significantly harmful to the prospective client. Both persons must give informed consent, confirmed in writing.

ካሊፎርኒያ

CRPC 1.18(c) disqualifies the lawyer if the information is confidential under B&P § 6068(e) and rule 1.6 and is material to the matter. Both persons must give informed written consent.

“Material” is a lower bar than “significantly harmful”, so California disqualifies more often. Apply both tests.

Declining a representation

ደንብ

Freedom to decline, and its limits

A lawyer may generally decline any matter, but must decline if acting would violate the rules or other law. A court appointment may be refused only for good cause. Examples are a likely violation, an unreasonable financial burden, or a client or cause so repugnant to the lawyer that it would impair the representation.

California has no rule 6.2. But Cal. Bus. & Prof. Code § 6068(h) forbids rejecting the cause of the defenseless or the oppressed for personal reasons. Also, Cal. Rules of Prof. Conduct, rule 8.4.1(a) forbids unlawful discrimination in refusing a client. MR 8.4(g), by contrast, does not limit declining.

The dinner-party conversation

At a dinner party, Ana learns that another guest, Cara, is a family lawyer. Cara gives Ana her business card. Ana takes Cara aside for 15 minutes and describes her divorce. She says her husband, Ben, hides money in an overseas account, and she explains how she found his bank records. She also names the judge she hopes to avoid. Cara asks follow-up questions, writes notes on a napkin, and never tells Ana to stop. Cara says, “You have a strong case. Call my office on Monday.” Ana hires another firm instead. Two months later, Ben asks Cara to represent him in the same divorce.

May Cara represent Ben? Answer according to California and ABA authorities.

ትንተና

The issue is whether Ana is a prospective client and, if so, whether Cara is disqualified. Under MR 1.18(a) and CRPC 1.18(a), a person who consults a lawyer about possible representation is a prospective client. Here, the setting was social, but Ana described her own case, and Cara asked questions, gave an opinion and invited a call. So Ana is a prospective client. Ben is materially adverse to Ana in the same divorce. The hidden-asset information could be significantly harmful to Ana (ABA) and is material (California). So Cara is disqualified unless Ana and Ben both consent. A screen cannot save her firm, because Cara did not limit what she heard. Therefore, Cara and her firm must decline Ben under both rule sets.

  4. 4.Acting against a prospective client is barred if the information could significantly harm (ABA) or is material (California).
  5. 5.Cure: consent from both persons, or a timely screen plus prompt written notice, if the lawyer limited what she heard.

1.4 Scope of the representation and allocation of authority

Once a relationship exists, the next question is who controls it. The client owns the matter and sets its goals. The lawyer is the expert and chooses most of the methods. Scope and allocation of authority have been tested on 9 of the last 50 exams, often inside a settlement or a criminal-defense story.

ደንብ

Objectives belong to the client; means belong to the lawyer

The lawyer must follow the client’s decisions about the objectives of the representation, and must consult the client about the means used to reach them. The client alone decides whether to settle. In a criminal case, the client decides the plea, whether to waive a jury and whether to testify.

McCoy v. Louisiana, 584 U.S. 414 (2018) (U.S. Supreme Court 2018)

እውነታው

A defendant charged with three murders insisted that he was innocent and told his lawyer not to admit guilt. The lawyer thought the evidence was overwhelming. To try to avoid a death sentence, the lawyer told the jury that the defendant had committed the killings, over the defendant’s repeated objections.

በመያዝ ላይ

The Sixth Amendment lets the defendant decide the objective of the defense. When a defendant expressly insists on maintaining innocence, the lawyer may not concede guilt. The violation is structural error, so the defendant received a new trial without showing prejudice.

ለምን አስፈላጊ ነው።

Whether to admit guilt is an objective, not a tactic. Cite McCoy with MR 1.2(a) and CRPC 1.2(a) when defense counsel concedes guilt over a criminal client’s objection. In a civil matter, cite the rules and Blanton instead.

ደንብ

Settlement authority and settlement offers in California

Hiring a lawyer does not give the lawyer implied authority to settle the client’s claim. Nor may the lawyer give up a substantial right, such as the right to a trial, without consent. The lawyer must promptly tell the client every term of a written settlement offer in a non-criminal matter, and of any plea offer.

The ABA reaches the same place by a different path. MR 1.4 requires the lawyer to keep the client informed, and its comment says that a settlement offer must normally be passed on promptly. California puts the duty in a separate rule, CRPC 1.4.1, and makes it specific. The lawyer must pass on all terms of every written settlement offer in a non-criminal matter, and of any plea offer. Cal. Bus. & Prof. Code § 6103.5 adds the same duty for written settlement offers.

limited-scope representation – An agreement that the lawyer will handle only part of a client’s legal matter, such as one task or one stage.

ደንብ

Limiting the scope

A lawyer and a client may agree to narrow the lawyer’s job. The limit must be reasonable in the circumstances, and the client must give informed consent. California adds that the limit must not be prohibited by law. A narrower job still requires competence, and a warning about reasonably apparent problems outside it.

ለምሳሌ

The lease review

A tenant hires Dan, a lawyer, only to review a commercial lease and to write one letter to the landlord about repairs. Dan explains in writing that he will not handle any lawsuit, and the tenant signs. While reading the lease, Dan sees that the tenant’s option to renew expires in 10 days.

ትንተና

The limit is reasonable, and the tenant gave informed written consent, so it is a valid limited-scope representation under both rule sets. But the renewal deadline is a reasonably apparent, related risk. Dan must tell the tenant about it and say that he is not handling it (Nichols v. Keller).

ውጤት

The limited scope is valid, but Dan must warn the tenant about the deadline.

ደንብ

Advising about illegal conduct

A lawyer must not advise or help a client to commit a crime or fraud, if the lawyer knows the conduct is criminal or fraudulent. A lawyer may explain the legal consequences of any proposed conduct. A lawyer may also help the client test in good faith what a law means.

The line is between explaining and helping. A lawyer may tell a client that a tax plan is illegal and what the penalties are. The lawyer may not draft the false documents that carry out the plan. If the client insists on using the lawyer’s services for the crime or fraud, the lawyer must refuse and may have to withdraw, as Chapter 7 explains.

MR 1.2(d) bars counseling or assisting conduct the lawyer knows is criminal or fraudulent. It has no special provision for a conflict between state and federal law.

ካሊፎርኒያ

CRPC 1.2.1 also bars conduct the lawyer knows violates any law, rule or ruling of a tribunal. Its comment addresses California law that conflicts with federal law, such as state-licensed cannabis. The lawyer may advise on and help with compliance, but must also explain the federal law.

For a cannabis client, write: permitted under CRPC 1.2.1 and its comment, if the lawyer advises about federal law. Under MR 1.2(d) alone, note the risk: the conduct is a federal crime, and the ABA text has no exception.

  5. 5.CRPC 1.2.1 is broader than MR 1.2(d), and its comment permits advice on California cannabis law with federal warnings.

1.5 Statutory duties: B&P §§ 6068 and 6101

The State Bar Act lists duties that every California lawyer owes by statute. The most important list is in B&P § 6068. These duties have no single ABA twin, so they belong in the California half of your answer. The duty to self-report in § 6068(o) is often missed, because the ABA Model Rules have nothing like it.

ህግCA

Cal. Bus. & Prof. Code § 6068

B&P § 6068(a)–(d): general duties (paraphrase)

An attorney must (a) support the Constitution and laws of the United States and of California; (b) maintain respect for the courts and judicial officers; (c) bring or defend only actions that appear legal or just, except in defending a person charged with a crime; and (d) use only means “consistent with truth”, and never try to mislead a judge by a false statement of fact or law.
ምንጭ ክፈት

Two points about subdivisions (a) to (d). First, subdivision (a) lets the State Bar discipline a lawyer who violates another law, such as a statute outside the State Bar Act. But a minor offense unrelated to practice is not automatically a ground for discipline (see Kelley, below). Second, subdivisions (c) and (d) are the California partners of the ABA rules on frivolous claims and candor to the tribunal (MR 3.1 and 3.3). Chapter 8 covers those rules. In any litigation story, cite the statute next to CRPC 3.1 and 3.3.

ህግCA

Cal. Bus. & Prof. Code § 6068(e)

B&P § 6068(e): confidentiality (paraphrase with short quotation)

Subdivision (e)(1) requires an attorney to maintain client confidences and, “at every peril to himself or herself”, to preserve the client’s secrets. Subdivision (e)(2) is the only statutory exception; client consent also permits disclosure (CRPC 1.6(a)). The attorney may, but need not, reveal the information when the attorney reasonably believes it necessary to prevent a criminal act likely to result in the death of, or substantial bodily harm to, an individual.

Exceptions to confidentiality

አጠቃላይ ህግ (ፌዴራል/አብላጫ)

MR 1.6(b) lists several permissive exceptions. The lawyer may disclose to prevent reasonably certain death or substantial bodily harm. The lawyer may also disclose to prevent or remedy some client crimes or frauds that use the lawyer’s services, to get ethics advice, or for self-defense.

Apart from client consent, B&P § 6068(e)(2) and CRPC 1.6(b) allow disclosure only to prevent a criminal act likely to cause death or substantial bodily harm. Before disclosing, if reasonable, the lawyer must try to dissuade the client and tell the client of the decision to disclose (CRPC 1.6(c)).

California has no financial-fraud exception. If a client’s fraud will cost a victim money, the ABA lawyer may sometimes disclose; the California lawyer may not. Chapter 3 covers the details.

Cal. Bus. & Prof. Code § 6068(m)

B&P § 6068(m): communication (paraphrase)

An attorney must respond promptly to reasonable status inquiries from clients, and must keep clients reasonably informed of significant developments in matters that the attorney has agreed to handle.
ምንጭ ክፈት

Subdivision (m) sits beside MR 1.4 and CRPC 1.4. A lawyer who ignores a client’s calls for months violates all three. On the essay, cite the rules and the statute together, then apply them to the facts once.

The duty to report yourself

A California lawyer must report certain events about the lawyer’s own conduct to the State Bar, in writing, within 30 days after learning of them. The duty is personal. It applies even if a court or prosecutor also informs the State Bar, and even if the lawyer expects to win.

ንጥረ ነገሮች

The reportable events under § 6068(o)

Report in writing within 30 days of knowing of any of these:

  1. 1.(o)(1): Three or more lawsuits in 12 months against the lawyer for malpractice or other professional wrongdoing.
  2. 2.(o)(2): A civil judgment against the lawyer for fraud, misrepresentation, breach of fiduciary duty or gross negligence as a lawyer.
  3. 3.(o)(3): Judicial sanctions against the lawyer, except discovery sanctions and money sanctions under $1,000.
  4. 4.(o)(4): An indictment or information charging the lawyer with a felony.
  5. 5.(o)(5): A felony conviction, including a guilty verdict or a guilty or no contest plea.
  6. 6.(o)(5): A misdemeanor conviction if the crime occurred in practice, had a client as victim, or involves dishonesty or other moral turpitude.
  7. 7.(o)(6): Discipline by another professional licensing body, in California or elsewhere.
  8. 8.(o)(7): Reversal of a judgment because of the lawyer’s misconduct, grossly incompetent representation or willful misrepresentation.

Self-reporting

አጠቃላይ ህግ (ፌዴራል/አብላጫ)

The ABA Model Rules of Professional Conduct contain no general duty to report your own criminal charges, sanctions or malpractice judgments. MR 8.3 concerns reporting other lawyers.

ካሊፎርኒያ

B&P § 6068(o) requires a written self-report within 30 days of each listed event. Failing to report is a separate disciplinary violation, whatever happens to the underlying charge or claim.

Discuss the underlying act first. Then add a separate heading, “Duty to self-report (B&P § 6068(o))”, and note that the ABA Model Rules of Professional Conduct have no self-reporting rule.

Criminal convictions

A conviction of a crime involving moral turpitude, whether a felony or a misdemeanor, is a cause for suspension or disbarment. The record of conviction is conclusive proof that the lawyer committed the crime. A conviction without moral turpitude can still lead to discipline if the facts show other misconduct warranting discipline.

In re Kelley, (1990) 52 Cal.3d 487 (California Supreme Court 1990)

እውነታው

A lawyer was convicted twice of driving under the influence within a few years. The second offense happened while she was on criminal probation for the first, so it also violated the court’s probation order.

በመያዝ ላይ

Neither conviction involved moral turpitude. But the convictions and the probation violation showed an alcohol problem that could affect her practice and a disregard of court orders. That was other misconduct warranting discipline, and the Court imposed a public reproval with conditions.

ለምን አስፈላጊ ነው።

A crime outside practice, without moral turpitude, can still support discipline. Use Kelley when an essay lawyer has a drunk-driving or similar conviction.

ማስታወሻ

Tested in July 2026

The July 2026 PR essay included a lawyer who pleaded guilty to misdemeanor drunk driving and told no one. Start with § 6068(o)(5): did the crime occur in practice, harm a client, or involve dishonesty? Then ask whether the conviction supports discipline under § 6101 or under Kelley. For the ABA half, use MR 8.4(b): a single drunk-driving offense rarely reflects on fitness, but a pattern can. CRPC 8.4(b) is the same.

ለምሳሌ

The $1,500 sanction

A judge orders Eva, a California lawyer, to pay $1,500 for filing a motion in bad faith. It is not a discovery sanction. Eva pays at once and thinks the matter is closed.

ትንተና

The sanction is judicial, it is not for discovery, and it is $1,000 or more. So § 6068(o)(3) requires Eva to report it to the State Bar in writing within 30 days after she learns of it. Paying the sanction does not remove the duty.

ውጤት

Eva must self-report. If she does not, the failure is a separate violation.

የፈተና ጠቃሚ ምክር

When the facts mention a lawsuit against the lawyer, a sanction, an arrest or a conviction, check § 6068(o). Write the 30-day rule, name the matching event, and conclude whether the lawyer had to self-report.

ቁልፍ ማስታወሻዎች

  1. 1.B&P § 6068 adds statutory duties: legal or just actions, truthful means, confidentiality and communication.
  2. 2.§ 6068(e) protects secrets “at every peril”; its only exception is a criminal act likely to cause death or substantial bodily harm.
  3. 3.§ 6068(m) requires prompt answers to status inquiries and updates on significant developments.
  4. 4.§ 6068(o) requires a written self-report within 30 days of listed events, such as a felony charge.
  5. 5.§ 6101 makes convictions involving moral turpitude a cause for discipline; Kelley reaches other convictions. The ABA uses MR 8.4(b).

1.6 The PR essay method: ABA, then California, then compare

A PR essay rewards organization more than any other subject. The facts usually describe a lawyer who makes several mistakes in one story. Your job is to find every act, name the duty, and state both sets of rules. This section gives you a fixed method. Chapter 12 applies it to full past essays.

two-authority answer – A PR answer that states the ABA rule and the California rule for each issue, applies both, and says whether the results differ.

ንጥረ ነገሮች

Seven steps for every PR issue

Work through the facts in time order. For each act by the lawyer:

  1. 1.1: Identify the act: what did the lawyer do, or fail to do?
  2. 2.2: Name the duty: loyalty, confidentiality, competence, communication, fees, candor, or another duty.
  3. 3.3: State the ABA Model Rule, with its number.
  4. 4.4: State the California rule and any B&P section, with their numbers.
  5. 5.5: Apply the facts to each rule, starting with “Here, …”.
  6. 6.6: Compare: is the result the same or different? Say why in one sentence.
  7. 7.7: State the consequence: discipline, disqualification, loss of the fee, or malpractice exposure.

ማንም በቂ ነው።

How long should each half be? If the California rule matches the ABA rule, write one sentence: “California Rule 1.2(a) is the same, so the result is the same.” Do not repeat the application. If the rules differ, state the California rule in full and apply it separately. Always add any B&P section that applies, even when the rules agree.

Headings matter. Use the duty as the main heading and the lawyer’s act as a subheading, for example “Duty of loyalty: Cara’s representation of Ben”. Graders read quickly, and a heading shows them you saw the issue. End each issue with a short sentence that begins “Therefore”. Always read the call of the question again before you write the first heading.

ምኒሞኒክ

A-C-D

  • A– ABA rule first
  • C– California rule and B&P section second
  • D– Difference: say whether the result differs

Say A-C-D under every heading. It keeps you from forgetting the half of the answer that the call demands.

A woman met a California lawyer for 30 minutes to discuss suing her employer for wrongful termination. She described her performance reviews, a private recording she had made of her supervisor, and the weaknesses she saw in her own case. The lawyer took notes and asked detailed questions about her strategy. The woman then hired another firm. Three months later, the employer asked the lawyer to defend it in the same lawsuit. Under the California Rules of Professional Conduct, may the lawyer represent the employer?

መልስ፡- C

The woman is a prospective client under CRPC 1.18(a), because she consulted the lawyer about hiring her. The employer is materially adverse to her in the same matter. The lawyer received confidential information that is material to the matter, so CRPC 1.18(c) bars the representation. The cure under CRPC 1.18(d) is informed written consent from both persons. A screen cannot cure the conflict for the lawyer personally. Options A and B wrongly require hiring or a fee. Option D overstates the rule, which covers only the same or a substantially related matter.
C is correct. Rule: under CRPC 1.18, a lawyer who learns information material to the matter from a prospective client may not represent a materially adverse client in the same or a substantially related matter without both persons’ informed written consent. Facts: the woman disclosed her recording, her reviews and the weaknesses of her case in the same dispute. Therefore the lawyer is disqualified unless both consent. The ABA result is the same, because this information could be significantly harmful to her (MR 1.18(c)). A and B confuse formation of a full relationship with prospective-client duties; no hiring or fee is needed. D confuses a same-matter conflict with a general bar on a practice area.

A lawyer represents a driver in a personal-injury lawsuit in California. The defendant makes a written offer to settle for $200,000. The lawyer believes the offer is excellent and that a jury is likely to award less. The lawyer sends the client the full offer and explains the risks of trial in detail. The client says, “Reject it. I want my day in court.” The lawyer is convinced that the client is making a mistake. What should the lawyer do?

Whether to settle is the client’s decision under MR 1.2(a) and CRPC 1.2(a). The lawyer complied with CRPC 1.4.1 by promptly giving the client every term of the written offer, and the lawyer may give strong, candid advice. But the lawyer must follow the client’s decision. Options A and B treat settlement as a matter of means or of the lawyer’s judgment; under Blanton, a California lawyer has no implied authority to settle a claim. Option D is wrong because a disagreement about settlement does not require withdrawal.
C is correct. Rule: the client decides whether to accept a settlement offer; the lawyer must communicate every written offer and may advise candidly. Facts: the lawyer passed on the $200,000 offer and explained the risks, and the client chose trial. Therefore the lawyer must reject the offer and keep representing the client competently. A mislabels settlement as a tactical means. B lets the lawyer override the client’s objective, which neither rule set allows. D invents a mandatory-withdrawal ground; a disagreement about settlement is not one. Chapter 7 covers when a lawyer may choose to withdraw.

B&P § 6068(o)(4) requires a lawyer to report an indictment or information charging the lawyer with a felony. The report must be in writing and made within 30 days after the lawyer learns of the charge. The duty applies to a charge, not only to a conviction. It does not depend on a link to law practice or on harm to a client. Others may also notify the State Bar, but the lawyer’s duty is personal. So she violated § 6068(o), whatever the outcome of the criminal case.
A is correct. Rule: § 6068(o) requires a written self-report within 30 days of knowledge of listed events, including a felony indictment or information. Facts: she knew of the felony indictment and said nothing for 45 days. Therefore she violated § 6068(o), and the failure to report is a separate ground for discipline even if she is acquitted. The ABA Model Rules of Professional Conduct have no self-reporting rule, so on an essay this is a point where the California and ABA results differ. B confuses the charge rule in (o)(4) with the conviction rule in (o)(5). C adds a practice-related limit that applies to some misdemeanor convictions, not to felony charges. D ignores that the statute places the duty on the lawyer personally.

CRPC 1.2.1 bars counseling or assisting conduct that the lawyer knows is criminal, fraudulent or a violation of law. Its comment addresses conflicts between California and federal law. A lawyer may advise on and help a client comply with California law, such as the state cannabis licensing laws, but must also advise the client about the related federal law and policy. Option A ignores that comment. Option B draws a line between advice and drafting that the comment does not draw. Option D invents a court-approval requirement.
C is correct. Rule: CRPC 1.2.1 and its comment let a California lawyer help a client comply with California law that conflicts with federal law, if the lawyer explains the federal law. Facts: the client seeks help with a state-licensed business, and the lawyer is willing to advise about the federal risk. Therefore the representation is permitted. Under MR 1.2(d) alone, the answer is less certain, because the conduct is a federal crime and the ABA text has no exception; say so on an essay. A ignores the California comment. B and D add limits that no rule contains.

Mini-essay: “Send me the papers”

Dan, a California lawyer, has dinner with his old friend Fay. Fay says that her surgeon left a sponge inside her during an operation 5 months ago, and she still has pain. Dan says, “That sounds like a good case. Send me your medical records and I’ll look at them.” The next day Fay emails the records. Dan replies, “Got them. I’ll be in touch.” A week later, a coworker offers Fay the name of another lawyer. Fay says, “No need. My friend Dan is handling it.” Dan puts the file in a drawer and forgets about it. He never enters the matter in his calendar. Fay calls Dan twice over the next year, and he does not return either call. He never tells her that he has not agreed to represent her. Fourteen months after the dinner, a second lawyer tells Fay that the time to sue the surgeon has expired. Dan never signed a fee agreement with Fay, and she never paid him.

What ethical violations, if any, has Dan committed? Answer according to California and ABA authorities.

ትንተና

Formation. The issue is whether Dan and Fay had a lawyer-client relationship. A relationship forms when a person seeks legal help and the lawyer agrees by words or conduct, or fails to decline while knowing, or when he reasonably should know, that the person reasonably relies (Restatement § 14; Togstad). No fee or writing is needed. Here, Dan called it a good case, asked for the records and wrote “I’ll be in touch.” Fay reasonably relied on him: she turned down another lawyer’s name. Dan should have known of that reliance, because he promised to be in touch and never said no. Therefore a relationship formed. At a minimum, Fay was a prospective client under MR 1.18 and CRPC 1.18. The missing written fee agreement matters under Cal. Bus. & Prof. Code § 6147 and Cal. Bus. & Prof. Code § 6148, but it does not prevent formation. Competence and diligence. Under MR 1.1 and 1.3, a lawyer must bring the skill and preparation the matter needs and act with reasonable promptness. Here, Dan ignored the file for 14 months and let the limitations period run. He violated both ABA rules. California Rules 1.1 and 1.3 impose discipline only for failures that are intentional, reckless, grossly negligent or repeated. Dan will argue that he simply forgot. However, forgetting a client’s file for over a year while ignoring two calls is at least grossly negligent. Therefore he also violated the California rules, although the California standard is harder to meet. Communication. Under MR 1.4 and CRPC 1.4, a lawyer must keep the client reasonably informed and respond to reasonable requests for information. B&P § 6068(m) adds a statutory duty to answer status inquiries. Dan ignored two calls. Therefore he violated all three, and the result is the same under ABA and California law. Consequences. Dan is subject to discipline. Fay may also sue him for malpractice: the relationship supplies the duty, and the lost claim is her damage. In California she must sue within the time set by Cal. Code Civ. Proc. § 340.6.

– The court within the State Bar that hears attorney discipline cases and recommends suspension or disbarment to the California Supreme Court.

– The State Bar office that investigates complaints against California lawyers and prosecutes discipline cases.

– A written censure of a lawyer, private or public; the least serious form of discipline in California.

– A disciplinary order that stops a lawyer from practicing law for a period; it may be stayed or actual.

– The most serious disciplinary sanction: the lawyer’s license to practice law is taken away.

– A civil claim that a lawyer’s breach of the standard of care caused a client’s loss.

– The results the client wants from the matter. The client decides them.

– The methods and tactics used to reach the client’s objectives. The lawyer chooses them after consulting the client.

– Isolating a disqualified lawyer from a matter, with no access to the file and no share of the fee.

– A lawyer’s written report to the State Bar about listed events in the lawyer’s own conduct, required by B&P § 6068(o).

– The Multistate Professional Responsibility Examination: a separate multiple-choice ethics test. California requires a scaled score of 86.

  4. 4.Prospective clients get confidentiality and conflict protection; California’s “material” test is stricter.
  5. 5.Clients decide objectives and settlement; lawyers choose means after consulting; CRPC 1.2.1 covers illegal conduct.
